US Capital Partners Increases Direct Lending through Breakwater Fund

Jeffrey Sweeney – CEO and Managing Director
Mr. Sweeney has a strong entrepreneurial approach, which he has applied in the investment banking and equipment leasing arena for nearly 15 years. He has extensive operational knowledge and experience in manufacturing, finance, machine tools, and equipment leasing—all gained as both a consumer of machine tools and later as a principal of a large machine tool leasing company, Global Finance Group.
In 1998, Mr. Sweeney purchased the assets of US Capital Corporation, a $5 million equipment leasing company. Changing the focus of the company to structured asset-based lending and investment banking, Mr. Sweeney grew the business to over $500 million in annual originations. In addition to his own capital, he has amassed a multi-million dollar private equity fund and an extensive outside network of participants for funding deals. US Capital Partners both syndicates and provides asset-backed loans for business acquisitions, working capital, equipment leases, recapitalizations, and commercial real estate transactions. From 1979 until its sale in the mid-1990s, Mr. Sweeney served as a principal and CEO of Machine Works Corporation, a lower middle-market aerospace manufacturing company.
Mr. Sweeney graduated from the University of California, Santa Barbara with a bachelor’s degree in Business Economics. An avid sailor, world traveler, and certified yoga instructor, Mr. Sweeney is also a regular donor to several non-profit organizations, including Food for Life, an international humanitarian non-profit association in India. Mr. Sweeney also works with the San Francisco Food Bank and with Educational Opportunities of Los Angeles, which provides educational services for youth.
Mr. Sweeney is active in the southern California and San Francisco chapters of ACG, TMA, CFA, and other financial organizations.

Saif Mansour – Managing Partner, Breakwater Investment Management
Saif Mansour is the Founder and Managing Partner of Breakwater Investment Management, LLC, and the Chairman of its Investment Committee. He is responsible for origination, structure, execution, and oversight of the firm’s investment portfolio and advisory positions. Saif currently serves on the Board of Directors of The Betty Mills Company, and is an active board observer of iSatori Technologies, Inc. and Consensus Orthopedics, Inc.
Prior to founding Breakwater in 2006, Saif was Vice President at Sunset Holdings, LLC, a Los Angeles-based private family investment firm, where he was responsible for structuring and executing direct capital placements in the form of secured and convertible debt securities and equity financings. Transactions included acquisitions and growth opportunities for both private and public companies. Previously, Saif served as a Strategy Consultant to the Office of the President at Union Bank of California, where he focused on market and financial analysis on mergers and acquisitions. He began his career in the venture capital industry, serving as an analyst for The Avram Miller Company.
Committed to philanthropic service to the local and global community, Saif currently sits on the Leadership Council for The Posse Foundation – Los Angeles, is an active mentor for Big Brothers Big Sisters of Los Angeles, and is a founding member of Conservation International’s Generation Conservation.
Saif graduated with a bachelor’s degree in International Relations from Brown University. During his time at Brown, he competed for the Brown Mens Division I Soccer Team.

Charles V. Towle – Director
Mr. Towle has over 10 years of business development, asset management, corporate finance, and general business management experience. He is a structured funding and commercial finance expert. At US Capital Partners, Mr. Towle is responsible for managing the firm’s nationwide business development team, capital markets program, lender affiliation, debt structuring and underwriting, and closing process with its broad credit and advisory offerings. He is a member of US Capital Partners’ Management Committee and a Limited Partner of Breakwater Structured Growth Opportunities Fund, LP.
Prior to joining the US Capital Partners team, Mr. Towle had operations management and corporate finance management consulting engagements at Regal Art and Gifts, Inc. and other non-bank financial institutions.
Mr. Towle served as a Board Member for Turnaround Management Association (TMA), and remains a member of TMA, CFA, and ACG.
Mr. Towle is an undergraduate and graduate of San Francisco State University with a BS in Business Administration (emphasis in Corporate Finance and International Business) and an MBA (emphasis in Sustainable Business). Mr. Towle tithes and volunteers on the Boards of several non-profit institutions as a Board Member, Treasury Committee Member, mentor and/or donor, among them Bhakti Projects, Inc., Food for Life, and The Puente Project.
Ish Spencer – Senior Vice President
Mr. Spencer works in business development and interacts closely with CEOs and CFOs of small to middle-market companies. He is responsible for preliminary commercial loan underwriting at US Capital Partners and acts as a client advocate during the loan committee process. Prior to joining US Capital Partners, Mr. Spencer was founder and CEO of a small-cap international real estate holding company. Mr. Spencer received his BS in Chemistry from UC Berkeley, MS in Chemistry from UC San Diego, and MBA from San Diego State.

Dr. Umesh Bhatia - Vice President
Dr. Umesh Bhatia is well recognized in the health care sector. He was trained under Nobel laureate Dr. Walter Gilbert at Harvard University and has published over 50 peer reviewed scientific publications and patents. He has collaborated with venture capital and private equity firms and was one of the early executives to join US Capital Partners and Breakwater Investment Management. He has been involved with several public and private companies either as CEO or as a senior advisor. His focus has been on providing support to clients on growth strategies, recapitalizations and turnaround situations. His current focus continues on asset based transactions in the small and lower middle markets in various sectors with an emphasis on providing CEO advisory services.
Muhammad "Mo" Howard - Vice President
Mr. Howard brings over seven years of experience in commercial lending, real estate investment, and underwriting to US Capital Partners. He currently heads US Capital Partners' Denver office and is responsible for all aspects of business development, with a focus on loan structuring and underwriting.
Before joining US Capital Partners, Mr. Howard spent three years at Branch Banking and Trust ("BB&T") as a commercial lending associate, graduating at the top of the BB&T Leadership Development Program. He then went on to work as a credit analyst, commercial underwriter, and commercial lender at BB&T Bank, where he managed and grew an $87 million portfolio. In his diverse roles at BB&T Bank, Mr. Howard gained an in-depth understanding of how banks operate and what it takes for a business to be a viable loan candidate.
Mr. Howard graduated cum laude from West Virginia University in Morgantown, WV. He holds an MBA, with an emphasis in Finance, and an impressive spread of postgraduate certifications, including SBA Lending, Commercial Lending, and Commercial Real Estate Lending and Analysis certifications.
Anthony Medovoy – Vice President
Mr. Medovoy brings nine years of experience in Credit Analysis and Corporate Finance to US Capital Partners. In his role, he is responsible for the company’s underwriting and placement process and acts as a support to US Capital Partners’ Credit Committee in its decision-making process. Prior to joining the US Capital Partners team, Mr. Medovoy spent five years in the Principal Investing and US Corporate Banking groups at Wells Fargo. In his most recent position, Mr. Medovoy served as an Associate at Guggenheim Partners Asset Management, where he managed the firm’s credit portfolio and conducted credit analysis of municipal issuers.
Mr. Medovoy is a graduate of the University of Southern California with a BS in Business Administration. He passed all four parts of the CPA exam and is a Level II CFA Candidate.

Marin A. McElhany – Vice President, Sales and Marketing
Marin McElhany joins US Capital Partners with over 7 years of global marketing experience. She is responsible for the marketing strategy and sales program at USCP. Ms. McElhany entered the securities market with Van Kasper in 1999 and subsequently spent 3 years in France working in private wealth management. In 2005, McElhany created a marketing and corporate events company focused on technology launches and the finance sector. In 2007, Wired magazine credited her firm with creating "San Francisco’s technology and video game launching mecca."
Ms. McElhany received her undergraduate degree in Finance from Northeastern University, and is a 2011 graduate of San Francisco State’s International MBA program. She completed coursework in both France and San Francisco while gaining her advanced sommelier license concurrently.
Ms. McElhany sits on the board of EDCC, Inc., a child care facility that brings innovative educational and arts programs to children K-5 attending Northern California East Bay public schools. Currently, Ms. McElhany also serves as the 2012 Education Chair for the Northern California Commercial Finance Association and is an active member of the Financial Women's Association.

Marcus Haas – Senior Editor and Commercial Copywriter
Marcus Haas combines extensive cross-jurisdictional legal and commercial expertise with more than ten years of experience in commercial copywriting. Prior to joining US Capital Partners, Mr. Haas was Senior Editor and Content Manager at three UK companies, and Head of Legals and Due Diligence at Ready2invest Limited, a leading UK real estate brokering and development firm. Mr. Haas graduated from the University of Cambridge.
